Terms and Conditions for Sayuri Online Academy Affiliate Program

1. Enrollment: Participation in the Sayuri Online Academy Affiliate Program (the “Program”) is voluntary and open to all individuals and entities that meet the eligibility requirements set forth in these Terms and Conditions. Enrollment in the Program constitutes acceptance of these Terms and Conditions.

2. Eligibility: To be eligible to participate in the Program, you must be at least 18 years of age and have a valid email address and mailing address. Sayuri Online Academy reserves the right to refuse participation in the Program to any individual or entity for any reason.

3. Program Requirements: As an affiliate of Sayuri Online Academy, you will be required to promote Sayuri Online Academy products and services using the affiliate link provided to you by Sayuri Online Academy. You must comply with all applicable laws, rules, and regulations in connection with your participation in the Program, including without limitation the Federal Trade Commission's Guidelines Concerning the Use of Endorsements and Testimonials in Advertising.

4. Commission: As an affiliate, you will be paid a commission for each sale of Sayuri Online Academy products and services that results from a customer clicking on your affiliate link and making a purchase within 60 days. The commission rate is 30% of revenue for all products of Sayuri Online Academy.

5. Payment: Commissions will be paid out on a monthly basis and will be transferred on the 1st - 15th of the following month. The commissions will be in US dollars and will be sent using PayPal. Transaction fees for commisions p are covered by affiliates. Payment terms are subject to change without prior notice. Sayuri Online Academy reserves the right to withhold payment of any commissions that are suspected of being generated fraudulently or in violation of these Terms and Conditions.

6. Promotion: As an affiliate, you may promote Sayuri Online Academy products and services through social media, email marketing, advertising, and other channels as approved by Sayuri Online Academy. You may not use spam or other unethical marketing practices to promote Sayuri Online Academy products and services. You are not allowed to change the price lower than us. Lastly, you cannot be our competitors to be our affiliate.

7. Review and transparency: To make sure your affiliate marketing channels, ads or others comply we advise any affiliate to send us an email once ready to run the program. Sayuri Online Academy will then review and approve the program. If found in violation of these terms, we will provide feedback on changes necessary for approval within 14 days. After this, a review can be requested again until approval is achieved.

8. Non-Competition:

a. During the term of this Agreement, Affiliate agrees NOT to directly or indirectly engage in any business that competes with Sayuri Online Academy’s Products and Services or that could reasonably be considered to undercut Sayuri Online Academy’s business, including but not limited to advertising, promoting, selling or distributing any products or services that are similar to or competitive with the Products and Services.

b. Affiliate further agrees not to use any content, trademarks, logos, or other intellectual property belonging to Sayuri Online Academy for any purpose other than promoting the Products and Services.

c. Affiliate agrees not to bid on or use any keywords, search terms, or phrases that are identical or similar to Sayuri Online Academy’s trademarks or that could cause confusion among customers in any search engine or pay-per-click advertising campaign. You cannot start your own service offering, advertising, and competing for market share. If found to do so, the affiliation will be immediately revoked, and the remaining amount shall not be paid.

d. Affiliate agrees not to display or aggregate Sayuri's products with competing brands in the same place of display: brokerage websites are not allowed. You have to create or market our product separately at the page_ level without association with competing brands, brands that Sayuri does not want to associate with, and other potentially harmful placements alongside our brand. Any brokerage website placement has to be approved in writing after careful review by Sayuri Online Academy.

e. Affiliate agrees not to engage in any other marketing channels or practices that compete with Sayuri Online Academy’s business, including but not limited to creating websites, social media pages, or other online presences that are similar to Sayuri Online Academy’s websites or social media pages, or that could reasonably be considered to undercut Sayuri Online Academy’s business.

9. Termination: Sayuri Online Academy may terminate your participation in the Program at any time for any reason. Upon termination, you will forfeit any commissions earned but not yet paid out.

10. Changes: Sayuri Online Academy reserves the right to modify these Terms and Conditions at any time without prior notice. Your continued participation in the Program after any such modification shall constitute your acceptance of the modified Terms and Conditions.

11. Independent Contractor: As an affiliate, you are an independent contractor and not an employee, agent, or partner of Sayuri Online Academy. You are solely responsible for any taxes or other liabilities arising from your participation in the Program.

12. Limitation of Liability: Sayuri Online Academy shall not be liable for any damages, including but not limited to lost profits or revenues, arising from your participation in the Program or the use or inability to use the affiliate link provided to you.

13. Force Majeure: Sayuri Online Academy shall not be liable for any failure to perform its obligations under this Agreement where such failure results from any cause beyond its reasonable control, including but not limited to, any act of God, war, civil unrest, terrorism, fire, flood, earthquake, strike, lockout, epidemic, government regulation, or failure of any communication or transportation system.

a. In the event of a Force Majeure event, Sayuri Online Academy shall promptly notify Affiliate of the nature and extent of the event and its expected duration. Sayuri Online Academy shall use commercially reasonable efforts to minimize the impact of the Force Majeure event and resume the performance of its obligations as soon as reasonably possible.

b. If the Force Majeure event continues for a period of more than thirty (30) days, either party may terminate this Agreement by giving written notice to the other party. In such event, neither party shall be liable to the other for any damages or losses resulting from the termination of this Agreement.

14. Governing Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of Indonesia without giving effect to any principles of conflicts of law.

By enrolling in the Sayuri Online Academy Affiliate Program, you agree to be bound by these Terms and Conditions. If you do not agree to these Terms and Conditions, you should not enroll in the Program.
